Terms of Use

These Terms of Use ("Terms") govern your access to and use of the CPA Analytics service ("Service"). By creating an account or using the Service you agree to these Terms on behalf of yourself and, if applicable, your organization.

1. The Service

CPA Analytics provides a hosted platform for ingesting telemetry from Mutha Goose devices and attached machines, producing reports, and managing related business operations. Feature availability depends on your subscription plan.

2. Accounts

  • You must provide accurate registration information and keep it current.
  • You are responsible for all activity under your account, including any users you create.
  • Keep your password secret. If you suspect unauthorized access, change your password and contact support immediately.
  • You must be at least 18 years old, or the age of legal majority in your jurisdiction, to register.

3. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose, or in violation of these Terms.
  • Reverse engineer, decompile, or attempt to extract the source code of the Service, except to the extent this restriction is prohibited by law.
  • Circumvent or attempt to circumvent rate limits, authentication, access controls, or audit logging.
  • Submit data you do not have the right to submit, including any data that infringes the rights of another party.
  • Use the Service to send unsolicited messages, store or transmit malware, or otherwise disrupt the integrity of the platform.
  • Resell or sublicense the Service without our written permission.

4. Subscription & Billing

  • Paid plans renew automatically at the end of each billing period unless canceled before the renewal date.
  • Fees are charged in advance and are non-refundable except where required by law.
  • We may change prices with reasonable notice; changes apply at the next renewal.
  • If a payment fails, we may suspend the Service until payment is made.
  • You may cancel at any time from your billing settings. Cancellation takes effect at the end of the current billing period; you remain responsible for charges already incurred.

5. Your Data

You retain ownership of data you submit to the Service ("Your Data"). You grant us a limited license to host, process, and transmit Your Data solely to provide and secure the Service. We may produce anonymized, aggregated statistics from Your Data that do not identify you or your organization; we own those aggregates.

6. Intellectual Property

The Service, including all software, design, and content we provide, is owned by CPA Analytics and our licensors and is protected by copyright, trademark, and other laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms. All rights not expressly granted are reserved.

7. Third-Party Services

The Service integrates with third-party services including Stripe (payments), Postmark (email), Twilio (SMS), AWS (hosting), and PubNub (real-time messaging). Your use of those services is subject to their terms. We are not responsible for third-party services or their content.

8. Availability & Changes

We work to keep the Service available, but we do not guarantee uninterrupted access. We may add, change, or remove features; deprecate APIs with reasonable notice; and perform maintenance that temporarily affects availability.

9. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you materially breach these Terms, if your payment fails after reasonable notice, or if we are required to do so by law. On termination we may delete Your Data after a reasonable grace period.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CPA Analytics WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE AMOUNTS YOU PAID FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold us harmless from any third-party claim arising from your breach of these Terms, your misuse of the Service, or your violation of applicable law or the rights of a third party.

13. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Exclusive jurisdiction and venue for any dispute lies in the state and federal courts located in Orange County, Florida, and you consent to personal jurisdiction there.

14. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms here with a new effective date, and for material changes we will notify you in the Service or by email. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
